Michael J. Eason

Mike has a general business practice representing entrepreneurs, owners, investors, and businesses of all stages.  He has particular expertise in debt financings and restructurings, business acquisitions and divestitures, and commercial transactions.  He also has significant experience in public company corporate governance, corporate secretary and corporate treasury-related matters.  Mike has worked extensively with clients in the business services, agribusiness, electric and gas utility, natural gas, specialty chemical, transportation, financial, retail and telecommunications industries.

Mike's experience includes the representation of buyers and sellers in M&A transactions and related financings, including auction processes, management buyouts, and sale leaseback financings.  He has counseled borrowers and lenders in bank, capital market and structured financings, ranging from simple loans to multi-billion dollar and multicurrency arrangements.  Mike has worked extensively on mortgage bond and other asset-based financing arrangements, and represented borrowers and lenders in troubled debt restructurings. He has counseled clients in commercial transactions in diverse areas including supply agreements, contract manufacturing, and equipment, fleet and railcar leasing.

In addition, Mike has counseled clients in the development of tax credit and government incentive projects, including affordable housing and workforce training projects.  He has experience counseling clients in various aspects of enterprise risk management, including property casualty, liability and D&O insurance programs, the formation of captive insurance subsidiaries, and information governance.

Mike has also counseled entrepreneurs and small businesses on the full range of issues around start-up, operations, growth, succession and exit.
